Terms of Use
Effective date: August 21, 2026. These Terms of Use govern your access to and use of Miru, a photography learning app operated by Miru LLC, a Virginia limited liability company, including the website at happymiru.com and related services.
Acceptance of These Terms
By creating an account, uploading content, buying credits, generating analysis, sharing links, or otherwise using Miru, you agree to these Terms. In these Terms, "Miru" means Miru LLC and the Miru app, website, software, content, features, and services. If you use Miru on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts and Security
- You must be at least 13 years old to use Miru.
- You must provide accurate account information and keep your login credentials secure.
- You are responsible for activity under your account, including uploads, analysis, saved notes, and shared links.
- You are responsible for maintaining your own copies of photographs, notes, and other materials. Miru is not a backup or archival service.
- You may not attempt to access another user's account, bypass security controls, scrape the service, or interfere with Miru's operation.
Your Content and Uploads
You retain ownership of photographs, notes, prompts, comments, metadata, and other material you upload or create in Miru. You grant Miru a limited license to host, store, process, analyze, display, reproduce, and transmit your content only as needed to provide, maintain, secure, improve, and support the service.
- You represent and warrant that you have all rights, permissions, licenses, releases, and consents needed for anything you upload, including photographs, reference images, portraits, images of minors, client work, private property, trademarks, copyrighted material, location information, and embedded metadata.
- You must not upload copyrighted material unless you own it, have permission from the rights holder, or have a lawful basis to use it.
- You must not upload content that violates privacy, publicity, intellectual property, contract, confidentiality, export control, or other legal rights.
- You must not upload unlawful, abusive, exploitative, harassing, defamatory, deceptive, malware-containing, or highly sensitive material.
- You are responsible for reviewing whether a photograph includes people, minors, location data, camera metadata, confidential scenes, client work, or other sensitive details before uploading or sharing it.
- You are solely responsible for deciding whether your content may lawfully be uploaded, processed by AI providers, shared, published, sold, licensed, submitted to a contest, delivered to a client, or otherwise used outside Miru.
AI Feedback and Generated Images
Miru uses AI systems to generate photography analysis, comparison feedback, hotspot observations, ratings, suggested next steps, and generated or edited images. AI output may be incomplete, inaccurate, subjective, unexpected, infringing, offensive, unsuitable for your needs, or inconsistent with your instructions. You are responsible for evaluating and deciding how to use any AI-generated output.
- Miru is a learning tool, not a professional, legal, intellectual property, privacy, safety, or commercial clearance service.
- AI feedback does not confirm that an uploaded image is lawful to use, publish, sell, license, or submit to a client, contest, publication, or platform.
- Generated or edited images may contain artifacts, distortions, inaccurate details, unexpected similarities to other works, or elements that require further rights review.
- Do not rely on Miru to identify every rights issue, recognizable person, private location, manipulated image concern, or sensitive detail in a photograph.
- You are responsible for reviewing all outputs before relying on them, publishing them, selling them, licensing them, or using them in professional, commercial, client, contest, or public settings.
Public Sharing
Miru may let you create public share links for photos, comparisons, analysis, generated images, notes, or related results. Anyone with a valid public share link may be able to view the shared material. You are responsible for confirming that shared content is appropriate to disclose and that you have the rights and consents needed to share it. You are also responsible for the people with whom you share links and for any consequences of making content public. You can revoke sharing where the app provides that option, but copies, downloads, screenshots, caches, search engine indexing, reposts, or other downstream uses may remain outside Miru's control.
Plans, Limits, and Availability
Miru may offer free, early access, trial, paid, or limited-use plans. We may change features, limits, pricing, availability, or eligibility over time. We may throttle, suspend, or refuse requests that appear abusive, automated, unlawful, unusually costly, or harmful to the service.
If Miru sells credits, credit packs, or similar usage units, those credits are not cash, stored value, gift cards, banked funds, or property. Credits are personal to your account, non-transferable, and may expire as disclosed when offered or purchased. Unused credits are non-refundable except where required by law. Miru may correct credit balances, reverse grants, or suspend purchasing where needed to address fraud, abuse, chargebacks, payment disputes, technical errors, or violations of these Terms.
If Miru later offers subscriptions, renewals, or other recurring paid plans, the applicable checkout, plan, or subscription terms will describe renewal timing, pricing, cancellation, and other required terms. Do not buy a recurring plan unless you understand and agree to those terms.
Prohibited Uses
- Using Miru to infringe or help infringe intellectual property, privacy, publicity, or confidentiality rights.
- Uploading content you are not legally allowed to process through third-party AI or cloud service providers.
- Using Miru to create, evaluate, or distribute unlawful, harmful, exploitative, or deceptive content.
- Reverse engineering, probing, load testing, reselling, or automating Miru except where expressly authorized.
- Removing attribution, security notices, or access controls from the service.
- Using Miru in violation of export controls, sanctions, or restrictions that apply to you, Miru, or any service provider.
Intellectual Property
Miru and its software, design, branding, workflows, and non-user content are owned by Miru LLC or its licensors and are protected by intellectual property laws. These Terms do not transfer ownership of Miru's intellectual property to you. You may use the service only as permitted by these Terms.
Copyright Complaints
If you believe content available through Miru infringes your copyright, contact us at support@happymiru.com with enough information for us to identify the content and evaluate the request. Miru may remove or disable access to content and may suspend or terminate accounts of repeat infringers or users who misuse the service for infringement.
Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms, created risk for Miru or others, used the service unlawfully, or caused operational or security issues. You may stop using Miru at any time. Some obligations, including content responsibility, payment obligations if applicable, disclaimers, limits of liability, and indemnity, survive termination.
Disclaimers
Miru is provided "as is" and "as available." To the fullest extent permitted by law, Miru LLC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. We do not guarantee that analysis, comparisons, ratings, notes, generated images, or AI-generated output will improve your work, meet professional standards, preserve legal rights, or be free from error.
Limitation of Liability
To the fullest extent permitted by law, Miru LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost data; reputational harm; business interruption; or claims arising from your uploads, rights clearance decisions, public sharing, or reliance on AI-generated output. To the fullest extent permitted by law, Miru LLC's total liability for any claim relating to Miru will not exceed the greater of the amount you paid Miru in the three months before the claim arose or $100.
Indemnity
You agree to defend, indemnify, and hold Miru LLC, its owners, employees, contractors, service providers, licensors, and affiliates harmless from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your content, your use of the service, your public sharing, your payment disputes or chargebacks, your violation of these Terms, or your infringement or alleged infringement of another person's rights.
Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law rules. Except where applicable law requires otherwise, disputes relating to these Terms or Miru will be brought in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.
Dispute Resolution
Before filing a formal claim, you agree to contact Miru LLC at support@happymiru.com and give us a reasonable opportunity to resolve the issue informally. Miru may add arbitration, class action waiver, or other dispute resolution terms in a future update if appropriate, subject to applicable law and required notice.
Changes to These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as by updating the effective date, posting notice in the service, or sending an email. Continued use of Miru after changes become effective means you accept the updated Terms.
